Your use of this software means that you agree to this agreement; if you do not agree, please do not use this software. In order to provide you with better services or due to changes in national laws and regulations, functional services, etc., Xino Innovation will revise this Agreement from time to time. The revised content constitutes an integral part of this Agreement. You are responsible for regularly checking the changes to this Agreement. If you continue to use this software after the change information is released, it means that you agree and accept the revised content of this Agreement.
This software refers to an application developed by Xino Innovation to realize auxiliary functional services for Xino smart glasses terminal devices. If you have purchased Xino smart glasses, you will use the relevant functional services of Xino smart glasses through the built - in software after starting Xino smart glasses. At the same time, you can download and install the [Xino app] that comes with this software on your mobile device through the official channels of Xino Innovation and the third - party channels authorized by Xino Innovation. You can connect Xino smart glasses to your mobile device through [Bluetooth] and use the [Xino app] to set up network connection, manage local files, adjust device parameters, and assist the compatible Xino smart glasses (specific functions vary depending on the device model).
You can enjoy voice translation, audio recording, AI interaction and other functional services through the Xino smart glasses terminal device equipped with this software (specific functional services vary depending on the device model, such as Xino voice translation function). When you start to operate some functions of Xino smart glasses products, it will be deemed that you agree to accept these Terms of Service. If you do not accept these Terms of Service, you may not be able to use some functions of Xino smart glasses products normally.
For the various services provided by this software, you can turn off the relevant services as needed. In order to provide better user experience and services, Xino Innovation will update, adjust and optimize this software and related services from time to time. Xino Innovation will inform you of the updated content in a way that you can receive after each update. You have the right to choose whether to accept the updated version of this software. If you do not accept the updated version of this software, the functions of this software and related services will not be fully realized or cannot be used normally.
You understand and accept that in order to provide you with better user experience and services, this software will collect and store other information about your use of this software and collect user feedback or send questionnaires to you from time to time. At the same time, some functions of this software may involve the collection of your personal information. Xino Innovation will protect your personal privacy in accordance with the law. For the content of your personal information protection, please refer to the [Privacy Policy].
You understand and accept that you should use this software and related services through terminal devices related to this software. Your use of this software through terminal devices will be deemed that you have carefully read and accepted this agreement.
If you believe that the software or the third - party service content on the software infringes your legal rights during the use of this software, you can contact Xino Innovation to feedback the situation and provide relevant evidence. Xino Innovation will handle your feedback in accordance with the law and promptly feedback the results to you.
This software is for your personal use only. You are responsible for the use of this software and related services. You may not use this software for any illegal purpose or for any purpose prohibited by this agreement, and you may not use this software and its content to infringe the legal rights and interests of other organizations or individuals. You also agree that when using the Software and Services, you will not:
Xino reserves the right to prohibit any of the above acts. If you commit any act that violates this Agreement, Xino reserves the right to suspend or terminate your right to access the website and/or prevent you from accessing the Software in the future.
You understand and accept that some of the service content of this Software is provided by a third party. Xino is not the provider or operator of the relevant service content. Xino only provides service content display and third - party software download and device adaptation services. You may access third - party software or website links from this Software. When you use the services provided by third parties, you should comply with national laws, regulations, third - party agreement rules, etc. All third - party software services and website content are provided by third parties and the third parties are responsible to you. Xino Innovation shall not be liable for any claims arising from any products purchased by you through third - party software or websites. Xino Innovation does not make any promises, guarantees or statements about the content, its authenticity, accuracy, or the availability, reliability, security or other aspects of third - party software or websites that Xino Innovation cannot control (including any of its rights), and is not responsible for any consequences of your use of such third - party content. You should decide whether to access and use such third - party content based on your own needs, and you shall bear the relevant risks.
You understand and accept that you can enable and use the above - mentioned third - party service functions in this software. When you use the third - party service functions, you may need to apply the relevant rules (if any) specifically for third - party services formulated by Xino Innovation from time to time, and Xino Innovation will publicize such rules in a way that you can receive.
You understand and accept that in order to provide better user experience and services, Xino Innovation will add or remove third - party services on this software from time to time based on user feedback, national policies, service quality, etc. If the Software does not clearly indicate the use period of third - party software and services, the use period of such software and services shall end on the date when the Software stops providing its content.
All rights, ownership and interests in the content and services provided by Xino Innovation on the Software belong to Xino Innovation, or have been legally authorized to Xino Innovation for related use. Unless otherwise expressly provided in this Agreement, no content or component of the Software may be copied, reproduced, reprinted, downloaded, uploaded, published, displayed, transmitted or distributed in any way, and no content on the Software shall be interpreted as granting any license for intellectual property rights in the content and services, whether by implication or otherwise. Xino Innovation reserves any rights not expressly granted in this Agreement.
Xino Innovation enjoys all rights permitted by laws and regulations to all data and information generated during the development and operation of the Software and related services.
You understand and accept that you will not use Xino Innovation and the Software’s trademarks, URLs, website names, distinctive logos or other iconic content without Xino Innovation’s written permission. You shall bear all legal liability for any losses caused to Xino Innovation or a third party due to your use of the above content in violation of this Agreement.
To the extent permitted by law, you agree to indemnify Xino Innovation, defend Xino Innovation and hold Xino Innovation harmless for any liability, loss, claim and expense arising from your breach of this Agreement, violation of applicable laws or infringement of third - party rights (including but not limited to patents, trademarks, copyrights, trade secrets or other intellectual property rights), willful misconduct or other abuse of the Software, Content or Services.
The Software and all Content and Services are provided on an “as is” and “as available” basis, with no warranty of being free from defects. To the maximum extent permitted by law, Xino Innovation disclaims all warranties, express or implied, including, but not limited to, the implied warranties of merchantability and fitness for any particular purpose.
Although Xino Innovation strives to keep the information provided on the Software accurate and up - to - date, Xino Innovation does not warrant that:
Xino Innovation makes every effort to ensure that Xino Innovation's services are always available, but Xino Innovation's services may be interrupted due to maintenance, repair, upgrades or network or equipment failures. Xino Innovation does not guarantee that Xino Innovation's services are free of bugs or viruses or are available in any particular area outside of China. You are responsible for configuring your information technology, computer programs and platform to access the Software. You should use your own virus protection software.
Applicable laws in your region may not allow such exclusions, especially the exclusion of certain implied warranties, in which case all such warranties are disclaimed to the maximum extent permitted by applicable law.
Xino Innovation shall not be liable for indirect, incidental, special or punitive damages of any kind, nor for any consequential losses, including but not limited to loss of profits, revenue, data, or data use.
The total liability of Xino Innovation and its partners to you for any damages or losses arising from your use of the Software shall not exceed the total amount of subscription fees or similar fees related to your use of any service or feature of the Software. Some jurisdictions do not allow limitation of liability, so the above limitation may not apply to you.
If you are under 18 years of age, you should carefully read and agree to this Agreement under the consent and guidance of your guardian before using the Software. Otherwise, Xino Innovation will limit the functions you can use on the Software after receiving and confirming the notice sent by your guardian to Xino Innovation.
Your guardian should use this software and related services under your consent, guidance and supervision. You should keep your payment information and equipment properly to prevent your guardian from using your payment equipment to use functions such as recharge and purchase on this software without your consent.
Unless otherwise provided in the terms of the relevant products or services, Xino Innovation shall not be responsible for any delay, failure or interruption of content or services caused directly or indirectly by natural acts, forces or causes beyond the reasonable control of Xino Innovation under any circumstances, including but not limited to Internet failures, computers, computer viruses, network attacks, telecommunications or any other equipment failures, power failures, strikes, labor disputes, riots, rebellions, civil unrest, labor or material shortages, fires, floods, storms, explosions, natural disasters, wars, government actions, orders of domestic or foreign courts or tribunals, or non - performance by third parties.
The conclusion, execution, interpretation and dispute resolution of this Agreement shall be subject to the laws of the People's Republic of China.
This Agreement is signed in ZhongKai District, Huizhou City, Guangdong Province. If any dispute arises between the parties regarding the content of this Agreement or its execution, the parties shall try to resolve it through friendly negotiation; if the negotiation fails, either party may file a lawsuit with the People's Court with jurisdiction over the place where the Agreement is signed.
If any provision of this Agreement is held to be invalid or unenforceable for any reason, the other provisions of this Agreement shall remain enforceable, and the invalid or unenforceable provision shall be deemed to have been modified to make it valid and enforceable to the maximum extent permitted by law.
You may not transfer any of your rights under this Agreement. Xino Innovation may transfer Xino Innovation's rights to any holding company, affiliate or subsidiary of Xino Innovation, or the successor in interest of any business related to the Services.
No failure or delay in exercising any right, power or privilege granted under this Agreement shall operate as a waiver thereof, and no single or partial exercise of such right, power or privilege shall preclude any subsequent or further exercise of such right, power or privilege.
This Agreement constitutes the entire agreement between you and Xino Innovation. You acknowledge that you have not relied upon any representation, warranty orYou enter into this Agreement without prior written representation and you irrevocably and unconditionally waive any right to claim damages and/or to rescind this Agreement due to misrepresentation made outside of this Agreement (other than fraudulent misrepresentation).
